This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and MaestroVision Inc. (“MaestroVision”) for the use of MaestroVision software products and related services (“Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, promptly uninstall or cease using the Software.
License Grant
MaestroVision grants you a non-exclusive, non-transferable license to use the Software in accordance with the terms and conditions set forth in this EULA. The license is granted solely for your personal or internal business purposes and does not permit resale or distribution of the Software.
Restrictions
You may not:
- Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software.
- Create derivative works based on the Software.
- Remove or alter any copyright, trademark, or other proprietary notices from the Software.
- Use the Software in any manner that violates applicable laws or regulations.
Ownership
MaestroVision retains all rights, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any ownership rights to the Software.
Support and Updates
MaestroVision may provide support services and software updates for the Software at its discretion. Any updates provided by MaestroVision shall be subject to the terms of this EULA.
Termination
This EULA is effective until terminated. You may terminate this EULA by uninstalling the Software and destroying all copies of the Software in your possession. MaestroVision may terminate this EULA if you fail to comply with any of its terms and conditions.
Disclaimer of Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAESTROVISION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT OF THIRD-PARTY RIGHTS.
Limitation of Liability
IN NO EVENT SHALL MAESTROVISION BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF MAESTROVISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MAESTROVISION’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.
Governing Law
This EULA shall be governed by and construed in accordance with the laws of Florida’s jurisdiction. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Florida.
Entire Agreement
This EULA constitutes the entire agreement between you and MaestroVision concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether oral or written.
By installing or using the Software, you acknowledge that you have read and understood this EULA and agree to be bound by its terms and conditions.
